Vegas Ventures LLC, a newly established company in Massachusetts, is poised to acquire the struggling Downtown Grand in Las Vegas, as reported by the Las Vegas Review-Journal. This acquisition, which is subject to court approval, was facilitated by court-appointed receiver Paul Huygens of Province LLC after nearly eight months in receivership and a competitive bidding process that attracted interest from numerous potential buyers.

Huygens filed a motion on Tuesday in Clark County District Court seeking judicial approval of the sale, which would involve transferring all assets of the Downtown Grand to Vegas Ventures. The buyer executed an asset purchase agreement on Aug. 13 and promptly deposited $2.7 million into escrow. This amount will contribute to the final purchase price, the specifics of which have not been disclosed.
Gaming Structure Retained
If the sale is sanctioned, Vegas Ventures intends to retain Fifth Street Gaming as the casino operator under the current lease. The buyer plans to engage a qualified third-party operator for the hotel, restaurants, and other non-gaming components of the property.
The Downtown Grand was placed into receivership in early January 2026 after its previous owners defaulted on a construction loan originally valued at $82.5 million for the construction of the newest hotel tower.
The loan amount was later increased by $7.5 million, and current court records indicate over $105 million still outstanding. In December 2025, Banc of California, the senior lienholder, initiated legal action against the ownership group, alleging that they ceased making required interest payments in March 2025 and failed to repay the loan upon its maturity on Aug. 19, 2025.
As per the R-J, the bank has consented to the sale. Any remaining claims or liens will be attached to the sale proceeds rather than being transferred to Vegas Ventures under the agreement.
Last-Minute Establishment
Vegas Ventures was established as a Massachusetts limited liability company on Aug. 18, just five days after the signing of the purchase agreement. Massachusetts records identify William “Bill” Keravuori, the founder of Boston-based Able Company, as the manager and resident agent.
This transaction follows an extensive marketing campaign by Province LLC. By late July, 45 parties had signed confidentiality agreements, and 43 had accessed the data room. Province also conducted 23 property tours with 13 different groups.
The receiver ultimately received nine letters of intent, with six containing detailed information regarding financial strength, regulatory compliance, and proposed deal terms.
A court hearing to approve the sale is scheduled for Sept. 22, 2026, with both parties aiming to finalize the transaction by Sept. 30. The Downtown Grand is anticipated to operate normally during the transition as the property prepares to exit receivership and transition to new ownership.
